* Allowing unsuitable placements.

### Failure to Reach the Utilization Target

The Freelancer will actively monitor the account for compliance with applicable Google Ad Grants and Google Ads requirements.

* Maintain appropriate keyword quality and relevance.
* Monitor disapproved advertisements and keywords.

## 17. Client Ownership and Account Control

The Client will retain full ownership and administrative control over:

* Google Analytics.
* Google Tag Manager.
* Conversion data.
* Audiences.
* Campaign assets.
* Reports.
* Website accounts.
* Related advertising and analytics systems.

The Freelancer may not:

* Remove or reduce the Client’s administrative access.
* Transfer account ownership.
* Create accounts controlled exclusively by the Freelancer.
* Add billing information without written approval.
* Convert the Grant account into a paid account.
* Create paid advertising charges without written approval.
* Delete campaigns without written approval.
* Delete conversion actions without written approval.
* Delete tracking configurations without written approval.
* Delete audiences without written approval.
* Delete historical data.
* Purchase paid tools or services without written approval.
* Commit the Client to third-party expenses without written approval.

## 18. Ownership of Work

All campaigns, ad groups, keywords, negative keyword lists, advertisements, asset groups, audiences, conversion actions, tracking configurations, reports, research, tests, documentation, and strategies created under this contract will belong to the Client upon payment of the applicable monthly milestone.

The Freelancer may not withhold Client-owned work after termination or non-renewal.

The Freelancer may not reuse, publish, sell, disclose, distribute, or provide the Client’s confidential campaign information, performance data, lead data, or strategy to another party.

## 19. Confidentiality and Security

The Freelancer must:

* Keep account information confidential.
* Protect login information.
* Protect lead and conversion data.
* Protect the Client’s business and nonprofit information.
* Use individual account access whenever available.
* Not share access with unauthorized persons.
* Notify the Client immediately of suspicious activity.
* Follow reasonable security instructions from the Client.
* Remove stored credentials when the contract ends.
* Return or transfer relevant access upon request.

## 20. Agency Personnel and Delegation

If the work is performed through an agency, the agency remains fully responsible for:

* Work performed by its personnel.
* Quality of deliverables.
* Campaign configuration.
* Tracking accuracy.
* Communication.
* Meeting attendance.
* Confidentiality.
* Account security.
* Completion of the agreed scope.
* Correction of incomplete or defective work.

The Freelancer or Agency may not delegate material work to an unauthorized person without the Client’s prior written approval.

The Client may request the removal or replacement of an unauthorized, unsuitable, or consistently unresponsive team member.

## 21. Quality Standards and Corrections

The Freelancer will perform the services professionally, accurately, and according to this contract.

Incomplete, incorrect, defective, or improperly configured work within the agreed scope must be corrected without an additional management fee.

This includes:

* Duplicate conversions.
* Missing tags or triggers.
* Incorrect geographic targeting.
* Incorrect campaign settings.
* Incomplete keyword research.
* Missing negative keywords.
* Poor campaign organization.

* Failure to test tracking.
* Failure to provide reporting.

## 22. Monthly Milestone Approval

Before requesting approval of each monthly milestone, the Freelancer must provide:

* The status of agreed deliverables.
* Confirmation of campaign work completed.
* Confirmation that conversion tracking was tested.
* The current grant-utilization status.
* The monthly written report.
* Details of incomplete work.
* The reason for incomplete work.
* A corrective plan and expected completion date for remaining items.

The Client may request reasonable corrections to incomplete or defective work before approving the milestone, subject to Upwork’s applicable terms.

## 23. Monthly Renewal

The contract may be renewed monthly at the fixed management fee of $250.

Each renewal is subject to:

* The Client’s approval.
* Funding of the next Upwork milestone.
* Satisfactory performance.
* Completion of agreed services.
* Timely communication.
* Attendance at agreed meetings.
* Submission of the required monthly report.

The Client is not obligated to renew the contract if the services are unsatisfactory or no longer required.

## 24. Termination and Handover

The Client may terminate the contract or decline monthly renewal if:

* Agreed services are not completed.

* Campaigns are not actively managed.
* Reporting is not provided.
* Communication is inadequate.
* Meetings are repeatedly missed.
* Tracking issues are not corrected.
* Compliance issues are ignored.
* Unauthorized account changes are made.
* Client instructions are not followed.
* Confidentiality or security requirements are violated.
* The Freelancer makes misleading statements about completed work.
* The Freelancer delegates material work without authorization.

Upon termination or non-renewal, the Freelancer must provide a complete handover containing:

* Work completed.
* Work still pending.
* Current testing status.
