Remain involved after contract execution as needed to maintain seller/broker relationships and work with underwriting, development, due diligence, title/closing, and other NLG team members to keep transactions moving. 13. Maintain excellent CRM discipline. Every meaningful lead, conversation, offer, follow-up, relationship, LOI, and contract should be accurately documented with a clear next action and follow-up date. 14. We are looking for a sharp, proactive real estate virtual assistant based in India to manage active property sales and rentals across Bangalore and Indore. This is not a passive admin role. You will be calling brokers, lawyers, and buyers daily when a deal is live, following up relentlessly, managing the sales pipeline, and keeping everything moving. When there is no active deal you hold and do light file management. This role is deal-based and ongoing — not a fixed 3-6 month contract. When a deal is active you are on. When it is quiet you are on standby at base rate. We want someone who stays, builds systems over time, and becomes the operating backbone of this India real estate operation. Hours and availability You will work primarily during India business hours. You will also need to be available for occasional calls and updates with the owner who is based in Canada (EST). This does not mean working EST hours — it means being reachable for a daily or weekly check-in that overlaps with a reasonable EST morning or your India evening, typically 6-7pm IST or later as needed. What you will do When a deal is active you make a minimum of 5 calls per day to brokers, buyers, lawyers, and leads. You own every step from lead qualification to token to MOU to registration. You follow up by WhatsApp and phone daily on warm leads. You manage inbound ad leads, update the pipeline in real time, and report call outcomes daily. Every repeatable process gets documented. This work is paid at a flat rate — 10 Looms and one complete SOP package for $20-30 per deliverable set, agreed in advance. This means the next hire or the owner can pick up from exactly where you left off. Compensation Base rate is $3 per hour for standby and admin periods, typically 5-10 hours per week, which works out to approximately $60-100 per month. When an active deal is running you move to a flat $60 per month for that period. Project Overview
We are seeking an Arizona-licensed transactional attorney to prepare the organizational and acquisition documents needed for an Arizona real estate development LLC. The LLC has already been formed, but the sponsor does not currently have an operating agreement, organizational consents, acquisition authorization, promissory note or related transaction documents. Counsel will need to verify the entity’s formation and status, determine what records exist and prepare the missing documents. The LLC intends to acquire an Arizona land parcel. The outside closing date is November 10, 2026. Patrick, the sponsor, expects to fund the acquisition initially. Following the acquisition, the sponsor anticipates completing a recapitalization with accredited investors. The expected economic result is that new investor capital will repay or reimburse Patrick for some or all of the acquisition capital he advanced, and the investors will receive interests in the project. The precise legal, tax and securities structure of that recapitalization has not yet been determined. A separate securities counsel team will later be selected to structure the investor offering and prepare the offering, subscription and investor documents. This engagement is focused on the LLC’s current organization, acquisition authority, founder funding and closing readiness. Immediate Scope of Work 1. Entity verification and organizational documents Verify the LLC’s legal name, jurisdiction of formation, active status, registered agent, current ownership and management structure. Obtain and review the filed articles of organization and available state records. Confirm whether the LLC is the appropriate entity to acquire and hold title to the property. Prepare an operating agreement reflecting the current ownership and management structure. Prepare initial member and/or manager organizational consents. Prepare ownership records, membership ledger, capital contribution records and other customary organizational records. Confirm who has authority to sign the purchase, financing and closing documents. Identify any additional filings, registrations or entity actions needed before closing. 2. Acquisition and closing documents Review the purchase agreement and related acquisition documents. Confirm the named purchaser and intended titleholder. Determine whether an assignment, nominee designation, seller consent or purchase agreement amendment is required. Prepare member and/or manager resolutions authorizing the acquisition, funding, execution of closing documents and designation of authorized signatories. Coordinate with the title and escrow parties regarding entity evidence, signatures and closing requirements. Identify any title, escrow or organizational issue that could affect the November 10 closing. 3. Documentation of Patrick’s acquisition funding Counsel should advise on whether Patrick’s acquisition funding should initially be documented as a member loan, a capital contribution or a combination of the two, taking into account the planned post-closing recapitalization and the need for later coordination with tax and securities counsel. If a member loan is appropriate, anticipated documents include: Member and/or manager consent authorizing the related-party borrowing. Promissory note from the LLC to Patrick. Loan agreement, if advisable. Schedule or ledger documenting funded advances. Provisions addressing interest, maturity, repayment, prepayment, default and subordination. Any related-party transaction disclosures or approvals counsel considers appropriate. Confirmation of whether the loan should be unsecured or supported by collateral, taking into account future construction financing. If the funds should instead be treated as a capital contribution, counsel should prepare the corresponding contribution authorization and ownership records. 4. Preparation for the future recapitalization The immediate documents should accurately record Patrick’s funding and avoid unnecessarily restricting a later recapitalization. Counsel should: Identify which organizational documents will need to be amended or replaced when investors are admitted. Flag provisions that future securities counsel will need to address. Prepare a concise handoff memorandum or issues list for the future securities counsel team. Coordinate with tax counsel or the sponsor’s CPA where the treatment of Patrick’s funding or repayment requires tax advice. This engagement does not include soliciting investors or preparing securities offering documents, a private placement memorandum, subscription agreement, investor questionnaire, Form D or state securities filings. Those items will be handled under a separate securities counsel engagement. Requested Deliverables We expect the final acquisition package to include, as appropriate: Verified entity and formation records. Operating agreement. Initial organizational consent. Ownership and capitalization records. Acquisition and closing authorization. Borrowing and related-party transaction authorization. Promissory note and any recommended loan agreement.
