Intellectual Property and License Terms All deliverables created by the Freelancer under this contract (the “Work Product”), including but not limited to UI designs, icons, illustrations, concept art, sketches, drafts, paintovers, source files, layered files, revisions, style guides, and related materials, shall be treated as work made for hire for the Client to the fullest extent permitted by applicable law. To the extent that any portion of the Work Product does not qualify as work made for hire, the Freelancer hereby irrevocably assigns to the Client, upon full payment for the relevant milestone, all right, title, and interest in and to such Work Product, including all copyrights and other intellectual property rights, worldwide and for the full term of protection. The Client shall have the exclusive right to use, reproduce, modify, adapt, create derivative works from, distribute, publicly display, sublicense, and otherwise exploit the Work Product in its games, downloadable content, sequels, marketing, trailers, social media, merchandise, print materials, and any other media, without additional approval or compensation. This assignment and license apply to all milestones and all work performed during the term of this contract, including all future milestones mutually agreed by the parties. The Freelancer may only include the Work Product in their portfolio, social media, or public showreel after the Client’s prior written approval, and only in a manner that does not disclose confidential, unreleased, or commercially sensitive content. This clause does not transfer any pre-existing intellectual property owned by the Freelancer, such as custom brushes, scripts, templates, tools, libraries, fonts, or workflows. Any such pre-existing IP incorporated into the Work Product must be disclosed in writing before it is used. It remains the Freelancer’s property, but the Freelancer grants the Client a perpetual, worldwide, royalty-free, transferable, sublicensable license to use, modify, reproduce, distribute, and commercially exploit it solely as incorporated into, or necessary to use, the Work Product. The Freelancer must not include any third-party assets, stock images, stock fonts, copyrighted material, marketplace assets, or generative-AI material in the Work Product without the Client’s prior written approval. We are a software company launching a new product, Oveka, into closed beta. We have shot our CEO talking to camera for about ninety seconds and we are editing it ourselves. We need someone to build the animated inserts that sit on top of that footage, delivered as alpha-channel overlays, not as a finished cut. We handle the shoot, the edit, the grade and the mix. You handle the graphics. The film runs as nine beats. The inserts include a poster frame with a headline and play affordance, a lower third, a title card, a stylised AI chat interface with a "blocked" intercept animating over it, a data-flow diagram with redaction applied in transit, a platform grid with a scan pass, two annotation layers that sit over real screen recordings of our product, animated key text, a caption layer, and an end card. THIS IS UI-DRIVEN MOTION, NOT EXPLAINER ANIMATION. Most of what you build either is a software interface, or is an annotation sitting on top of a real screen recording of one. If your reel is icons, blobs, bouncing shapes and character illustration, this is not a fit and we will not shortlist you. That is a genuinely different craft and we would both waste a week finding out. You will get a full creative brief before you start: a fixed colour palette with hex values, a type scale in pixels, defined easing curves and durations, stroke weights, margins, and a per-insert specification of what each one shows and how it behaves. You will not be guessing at the look, and you will not be asked to invent a brand. Separately you will get a technical delivery spec covering codec, frame rate, handles and file naming. The direction is tight on purpose. Within it there is real craft to do. WHAT WE NEED BUILT There are two routes and you may bid one or both, as separate fixed prices. Both cover the same nine beats. The poster frame is one of the deliverables and it is the most important single frame in the project, because it decides whether anyone watches the other ninety seconds. - Two inserts annotate real screen recordings of our product. One of those captures is not yet cleared for release, so you will build a structural placeholder to the real view's layout plus a separately positionable annotation layer, and we swap the real capture in at the edit. This is spelled out precisely in the brief. - One interface is a stylised mockup you build, because it stands in for a third-party AI tool we have no right to depict. It must not resemble any named product. - Concealing real data in those captures is done with opaque painted blocks at a single fixed tone, not a blur or a pixelate filter. There is a security reason and the brief explains it. - Four third-party platform logos are cleared for use. We will tell you which. - WE EXPECT THE EDITABLE PROJECT FILES, not just the renders. We maintain and amend this material in-house after delivery, particularly the end card, whose URL and closed-beta framing both change when Oveka leaves beta. - Full source files plus outright IP assignment on delivery. We will supply brand assets, and the fonts subject to the note below. - No NDA required, and no restriction on showing the finished work in your portfolio. ON TOOLS AND PROJECT FILES DaVinci Resolve Fusion, Apple Motion and Adobe After Effects are all equally acceptable, with Fusion mildly preferred. Other tools are fine too. Your choice of tool will not affect shortlisting or scoring. Build in whatever you are fastest and best in. The renders are identical either way: alpha overlays to our delivery spec, frame for frame. What we actually care about is that the project is maintainable by someone who did not build it. Four things will be checked: - Every asset present and linked relatively, not by absolute paths to your own machine. - Comps and layers named meaningfully, not left as "Shape Layer 14". - The project re-renderable by a third party on a clean machine. - A short written re-render note saying how to re-render and where the editable text lives. ON TYPE Two typefaces are involved, both commercially licensed. All type in the delivered project files is outlined to vector, so the handover never waits on a licence question and we can always open and render what you give us. Alongside the outlines we need an editable-text version of three strings only: the end card URL, the end card CTA, and the lower third. That is the whole list. We are currently checking whether our font licences extend to a contractor.
