I need a legally sound revocable living trust drafted that specifically covers my farm and its related assets. The goal is straightforward estate planning: I want to keep ownership flexible during my lifetime while ensuring a smooth, probate-free transfer to my family members when the time comes.
Here’s what I’m looking for: • A complete trust instrument tailored to my state’s statutes and agricultural considerations (land, equipment, livestock and any future acquisitions). • Clear guidance on how to retitle the property and associated accounts into the trust once the document is executed. • Ancillary templates if necessary—certificate of trust, assignment of personal property, and a pour-over will—so the structure works seamlessly with my existing estate documents. • Brief, plain-English explanations that help me understand ongoing maintenance, amendment procedures, and trustee duties. A background in farm or rural estate planning will be highly valued. Please outline your process, projected timeline, and any information you will need from me to begin. PRC Lawyer Needed to Review & Revise China NDA/NNN Agreement

I am seeking a PRC-qualified lawyer to review and revise an existing NDA/NNN agreement for use with a manufacturer in China for my U.S. claw-clip company, Sunday Swoon. The agreement is intended to protect proprietary product designs, CAD files (.STP/.DXF), drawings, specifications, and the unique functionality/design of a custom claw clip. My designs have unique functionality compared to other claw clips on the market and I need this design protected from copying/misuse from Chinese manufacturers.
I would like the agreement reviewed for enforceability under Mainland Chinese law, including non-disclosure, non-use, non-circumvention, unauthorized production/overruns, subcontractors, IP ownership, tooling/mold ownership, return or destruction of confidential information, liquidated damages, and dispute resolution. I would also like the agreement structured so it can be reused with potential future Chinese manufacturers if the current manufacturer does not work out, with the manufacturer-specific information changed as needed. This project is for review and revisions of the existing agreement, not drafting an entirely new agreement or a consultation unless necessary for legal protection. Prior to beginning I would like to confirm lawyer credentials. My current NDA draft is attached and is called FINAL NDA.pdf. The Alibaba manufacturer I am beginning to work with requested revisions to my original NDA and these revisions are present in their NDA supplier Revisions.pdf. I want to make sure that these requested revisions from the manufacturer are appropriate and that my product is still protected. If you could make redlines to my FINAL NDA.pdf and after approval provide a full copy of the NNN in both English and Chinese. I have also attached two images with the manufacturer's requested changes from the Alibaba chat.

CPA for Forensic Accounting & Arbitration

|
We are two business founders seeking an experienced U.S.-licensed CPA to provide forensic accounting, financial modeling, valuation analysis, and financial writing support for an ongoing commercial arbitration involving a major, multiphase real estate and sports/entertainment development venture.
The dispute involves founder ownership, compensation, expenditures, related entities, and changes to project economics. We need an independent professional to review the financial evidence, test existing calculations, develop supportable scenarios, and help explain the findings clearly. The initial engagement is for remote consulting support. Any formal expert report, declaration, deposition, or testimony would be separately discussed and priced. The work will include: Financial reconciliation and tracing. Review selected expenditure ledgers, receipts, bank and wire records, tax returns, K-1s, loan documents, and financial statements. Distinguish expenses, reimbursements, member advances, capital contributions, related-party transfers, and outstanding liabilities. Entity and ownership analysis. Map ownership and financial relationships across multiple LLCs, including separate entities with similar names. Analyze direct and indirect interests, changes in ownership percentages, debt conversion, preferred returns, and the order in which proceeds are distributed. Review of existing budgets and projections. Compare historical compensation proposals, development budgets, and later financial models. Identify each document’s source, date, assumptions, and evidence of approval. Distinguish proposals and projections from executed agreements and actual transactions. Independent compensation and project benchmarks. Research supportable comparisons for developer fees, project-management compensation, founder services, salaries, and profit participation. Assess whether existing figures are reasonable for the project’s scope, services, timing, and risk. Financial forecasts and valuation scenarios. Develop or refine projections beginning in 2026, with an appropriate forecast period, development phases, financing assumptions, costs, revenues, and sensitivity analysis. Reconcile differing historical descriptions of project size. Clearly distinguish development cost, completed project value, net profit, distributable cash, and the value attributable to a particular ownership interest. Damages modeling. Evaluate documented expenditures, potential compensation losses, and ownership-value scenarios using clearly identified assumptions. Keep individual losses, company-level losses, and ownership valuation separately calculated, and identify possible overlap or double counting. Disputed ownership percentages and potential arbitration outcomes must remain conditional assumptions. Financial writing and supporting schedules. Help prepare a clear financial narrative, calculation explanations, tables, and supporting schedules for potential use in arbitration. Tie material figures to source documents and identify missing evidence, limitations, and findings that do not support a proposed calculation. We have working summaries and supporting records, including documents identified by exhibit or Bates number. We propose beginning with a focused set of core materials so the initial engagement can be scoped and priced before expanding the review. Expected deliverables include an initial assessment and records-gap list, an editable Excel model with transparent formulas and documented assumptions, and a concise written financial analysis with source references. Applicants should have an active U.S. CPA license and demonstrated experience in forensic accounting, economic damages, or business valuation. Experience with LLC ownership disputes, commercial arbitration, and substantial real estate development projects is particularly relevant. CFF, ABV, CFE, or comparable specialized credentials are welcome. Please include: Your licensing jurisdiction and relevant credentials. Examples of similar engagements and your specific role. A redacted work sample, if available. Your proposed approach and any additional specialist expertise required. A fixed-fee or capped-fee proposal for the initial assessment. Estimated costs for subsequent modeling and writing phases. Your availability and anticipated turnaround. Whether you can provide expert testimony later, with separate rates. We value independent judgment, accurate calculations, and clear explanations. Please identify unsupported assumptions and contrary evidence; the engagement is not dependent on reaching a predetermined damages amount. Case identities will be provided privately for conflict screening before confidential records are shared, subject to applicable confidentiality requirements. Skills: Branding, Sports, Financial Analysis, Financial Forecasting, Financial Modeling, Business Valuation, Intellectual Property Law

I have a 51-page Sale Deed in PDF format that I must submit in Hindi. Although many of the pages contain only a few lines, the full document still needs to be rendered faithfully and carry an official certification.

I need help getting a specific photograph taken down from someone else’s Facebook account. On that picture is my son of 10 months. I have strictly forbidden my son to be placed on Social media. When my husband contacted the person who made the post (his sister) and requested the picture to be removed, she simply said and I quote "I don't need your dumb wife's drama's", refused to take it down and placed a restriction, so I can't see the post anymore. I do have the legal authority to request its removal, as a mother and legal guardian to my son, but I’m unfamiliar with the most effective way to proceed through Facebook’s reporting, copyright/privacy, or court-order channels.
The job focuses on: • Identifying the fastest, policy-compliant path to have the image removed (copyright claim, privacy violation, defamation complaint, or another applicable route). • Preparing any required documentation or takedown notices so they meet Facebook’s evidence standards. • Submitting the request and monitoring Facebook’s response until the picture is no longer publicly accessible. • Supplying me with clear, dated proof of removal once the process is complete. Experience with Facebook’s Copyright & Trademark Policy portal, privacy reporting tools, DMCA procedures, or legal takedowns is essential. If additional legal language or notarised statements are needed, please outline them at the outset so I can supply signatures promptly. Success is confirmed when the image is permanently removed or blocked for all users. I’m looking for a Spanish abogado colegiado with experience in rental/property law.

Review Type II Preliminary Offer Agreement and Platform Legal Pages
Applied
|
not specified | 9 days ago |

Counsel Engagement Note
The core document I am asking you to review is not a conventional contract of sale. It is a platform-generated Type II preliminary agreement that has to hold up under New York real property and licensing law while being rendered automatically by software, and it sits alongside a set of consumer-facing terms, a privacy policy and a disclaimers page that must describe the same platform consistently. I need someone who reads both the clause and the system that produces it. The engagement is a fixed-scope first pass with a clear list of questions and flexibility to add remarks from your end while working on it. The Project WALKUP. is a New York State residential real estate marketplace operated by Walkup Platform Inc., a Delaware C-corporation. The platform connects homeowners who want to sell their own property directly with buyers who want to tour and make offers without a broker in the middle. Walkup does not hold a real estate brokerage license, does not represent either party, does not negotiate price or terms, does not hold client funds or earnest money, and does not give legal, tax, or title advice. Homeowners create their own listings, run their own showings and open houses, and receive offers directly from buyers. Buyers tour listings, complete identity and liveness verification (KYC) , satisfy an optional qualification step, and submit structured offers through the platform. The Walkup Offer Agreement is a Type II preliminary agreement: it creates a binding process for moving toward a Contract of Sale, but the sale itself remains non-binding until the parties' attorneys draft and both parties sign a traditional Contract of Sale. Each party must designate an attorney of record, and Walkup's role ends with an attorney handover package that transfers relevant disclosures and documents to those attorneys. Walkup's only revenue is a flat fee per transaction. The seller listing fee is 500 USD, discounted to 250 USD during launch. The buyer offer fee is 500 USD, discounted to 250 USD during launch. Optional marketing add-ons are available at checkout. There are no subscriptions, no recurring charges, no success fees, no referral fees, no commission splits, and no percentage of the sale price taken at any point. Scope is strictly limited to residential real estate in New York State across eight property types: co-op, condo, condop, townhouse, single-family, multi-family, brownstone, and residential land. Commercial property and out-of-state property are not supported initially. Two tools sit behind the documents under review. Walkup Intelligence is a pricing guidance product that estimates property value based on closed sales (ACRIS) rather than active asking prices. It is informational only, is not an appraisal, and plays no part in the Offer Agreement or the Contract of Sale. The identity and liveness verification flow requires both parties to submit government-issued identification, a selfie, and a short liveness video before an offer can be submitted. This verifies identity for platform trust and security purposes; it does not verify title, ownership, lien status, or financial capacity, all of which remain the responsibility of the buyer's attorney and the parties' own counsel. The platform also collects certain financial documents, such as proof of funds, as part of the mandatory buyer qualification before being eligible to schedule visits or make offers. Walkup complies with fair housing law and prohibits discriminatory conduct in listings, showings, and offers. The platform is not yet live; we are in final pre-launch testing and intend to soft-launch in October 2026. What is under review There are two workstreams, each with its own review pack. The first is the Binding Offer Agreement. It is signed by a buyer and a seller after the seller accepts an offer on the platform and before their attorneys begin the Contract of Sale. It is drafted as a Type II preliminary agreement under the Tribune analysis: binding as to process in Sections 1 through 6, and expressly non-binding as to the sale itself in Sections 7 through 10. It creates a short exclusive negotiation window with a defined deposit and damages mechanic. It does not purport to convey the property or to satisfy General Obligations Law section 5-703. Signature is collected through an embedded e-signature workflow with a retained audit trail, and any deposit goes to the seller's attorney IOLA account, never to Walkup. The second is the set of three public legal pages: the Terms of Use (34 sections), the Privacy Policy (18 sections plus a biometric data section) and the Disclaimers. They were last revised in September 2026 without outside counsel so your time goes to the legal questions rather than to finding drift I have already found. Scope of the review On the agreement, I am asking for an opinion on three points. First, that it holds as a Type II preliminary agreement and that the binding and non-binding parts are correctly separated and cannot be read against Walkup. Second, that nothing in the text, or in Walkup's described role in Section 10, constitutes brokerage activity requiring a licence under Real Property Law section 440-a, or unauthorised practice of law under Judiciary Law sections 478 and 484. Third, that the nine open items flagged in the agreement pack are resolved. On the legal pages, I am asking for four things. First, that the three pages are enforceable against a New York consumer and that nothing in them undermines the broker-exemption posture or the Type II posture of the agreement. Second, that the Privacy Policy lawfully describes what Walkup actually collects, in particular identity documents, selfies, liveness video and financial documents, with defensible retention and biometric provisions. Third, that the arbitration, class waiver, limitation of liability and indemnification clauses would be enforced by a New York court. Fourth, answers to the thirty-seven numbered questions in the legal pages pack (T1 to T18 on the Terms, P1 to P12 on the Privacy Policy, X1 to X7 on the Disclaimers), and a view on the standalone pages I do not yet have, in particular SMS consent terms and an E-Sign consent disclosure. On the broker exemption memorandum, I am asking for a review of the memorandum itself, an assessment of the claims it makes, and answers to the open questions it flags. Potentially in scope too: the visual design of any legal document or page. Out of scope: the Contract of Sale itself, and marketing or legal copy outside the three legal pages. What I expect back On the agreement, a redline against the canonical wording, or margin comments on any of the rendered variants, referencing clause numbers rather than page numbers. On the legal pages, tracked changes in the enclosed Word editions, referencing section numbers. In both cases, where a change is required for compliance, I would like it marked as such and separated from changes that are preference or drafting style, so I can prioritise. I would also like a written answer to each numbered question in the two packs and to the open questions in the broker exemption memorandum, and a clear statement of whether the revised legal pages require re-acceptance by existing users. None of these documents has yet been sent to a live user. Counsel sign-off is a gate on first production use of the agreement and on publication of the revised pages, both of which I am targeting ahead of a soft launch on 13 October 2026. A first pass within two to three weeks would keep me on schedule. What is enclosed (due to limited upload capacity Upwork) Folder 1, Binding Offer Agreement * Offer Agreement Counsel Review Pack. The single entry point for this workstream: legal posture, variable dictionary, conditional logic map, section-by-section guide, and the ten open questions. * An annotated edition, showing every merge field as its token name so the structure can be read without any one buyer's numbers. * Demo offer agreements of multiple cases Folder 2, Platform legal pages * Platform Legal Pages Counsel Review Pack: platform facts the pages must reflect, page inventory, known drift, the numbered questions, and the list of candidate pages I do not have. * Terms of Use, Privacy Policy and Disclaimers, each as a PDF of the page as published today. Folder 3, Background * Broker exemption memorandum, setting out why Walkup is not a real estate broker under RPL sections 440-a and 442. I am asking for an assessment of the claims it makes and answers to the open questions it flags. If this first piece of work goes well, I would like to keep working with the same counsel as we grow rather than re-explain the platform to someone new each time, so I see this as the start of a longer relationship rather than a one-off. Happy to talk through any of it by call, or to just get your read on the fit first. Nick
