The core document I am asking you to review is not a conventional contract of sale. It is a platform-generated Type II preliminary agreement that has to hold up under New York real property and licensing law while being rendered automatically by software, and it sits alongside a set of consumer-facing terms, a privacy policy and a disclaimers page that must describe the same platform consistently. I need someone who reads both the clause and the system that produces it. The engagement is a fixed-scope first pass with a clear list of questions and flexibility to add remarks from your end while working on it. The Project WALKUP. is a New York State residential real estate marketplace operated by Walkup Platform Inc., a Delaware C-corporation. The platform connects homeowners who want to sell their own property directly with buyers who want to tour and make offers without a broker in the middle. Walkup does not hold a real estate brokerage license, does not represent either party, does not negotiate price or terms, does not hold client funds or earnest money, and does not give legal, tax, or title advice. Homeowners create their own listings, run their own showings and open houses, and receive offers directly from buyers. Buyers tour listings, complete identity and liveness verification (KYC) , satisfy an optional qualification step, and submit structured offers through the platform. The Walkup Offer Agreement is a Type II preliminary agreement: it creates a binding process for moving toward a Contract of Sale, but the sale itself remains non-binding until the parties' attorneys draft and both parties sign a traditional Contract of Sale. Each party must designate an attorney of record, and Walkup's role ends with an attorney handover package that transfers relevant disclosures and documents to those attorneys. Walkup's only revenue is a flat fee per transaction. The seller listing fee is 500 USD, discounted to 250 USD during launch. The buyer offer fee is 500 USD, discounted to 250 USD during launch. Optional marketing add-ons are available at checkout. There are no subscriptions, no recurring charges, no success fees, no referral fees, no commission splits, and no percentage of the sale price taken at any point. Scope is strictly limited to residential real estate in New York State across eight property types: co-op, condo, condop, townhouse, single-family, multi-family, brownstone, and residential land. Commercial property and out-of-state property are not supported initially. Two tools sit behind the documents under review. Walkup Intelligence is a pricing guidance product that estimates property value based on closed sales (ACRIS) rather than active asking prices. It is informational only, is not an appraisal, and plays no part in the Offer Agreement or the Contract of Sale. The identity and liveness verification flow requires both parties to submit government-issued identification, a selfie, and a short liveness video before an offer can be submitted. This verifies identity for platform trust and security purposes; it does not verify title, ownership, lien status, or financial capacity, all of which remain the responsibility of the buyer's attorney and the parties' own counsel. The platform also collects certain financial documents, such as proof of funds, as part of the mandatory buyer qualification before being eligible to schedule visits or make offers. Walkup complies with fair housing law and prohibits discriminatory conduct in listings, showings, and offers. The platform is not yet live; we are in final pre-launch testing and intend to soft-launch in October 2026. What is under review There are two workstreams, each with its own review pack. The first is the Binding Offer Agreement. It is signed by a buyer and a seller after the seller accepts an offer on the platform and before their attorneys begin the Contract of Sale. It is drafted as a Type II preliminary agreement under the Tribune analysis: binding as to process in Sections 1 through 6, and expressly non-binding as to the sale itself in Sections 7 through 10. It creates a short exclusive negotiation window with a defined deposit and damages mechanic. It does not purport to convey the property or to satisfy General Obligations Law section 5-703. Signature is collected through an embedded e-signature workflow with a retained audit trail, and any deposit goes to the seller's attorney IOLA account, never to Walkup. The second is the set of three public legal pages: the Terms of Use (34 sections), the Privacy Policy (18 sections plus a biometric data section) and the Disclaimers. They were last revised in September 2026 without outside counsel so your time goes to the legal questions rather than to finding drift I have already found. Scope of the review On the agreement, I am asking for an opinion on three points. First, that it holds as a Type II preliminary agreement and that the binding and non-binding parts are correctly separated and cannot be read against Walkup. Second, that nothing in the text, or in Walkup's described role in Section 10, constitutes brokerage activity requiring a licence under Real Property Law section 440-a, or unauthorised practice of law under Judiciary Law sections 478 and 484. Third, that the nine open items flagged in the agreement pack are resolved. On the legal pages, I am asking for four things. First, that the three pages are enforceable against a New York consumer and that nothing in them undermines the broker-exemption posture or the Type II posture of the agreement. Second, that the Privacy Policy lawfully describes what Walkup actually collects, in particular identity documents, selfies, liveness video and financial documents, with defensible retention and biometric provisions. Third, that the arbitration, class waiver, limitation of liability and indemnification clauses would be enforced by a New York court. Fourth, answers to the thirty-seven numbered questions in the legal pages pack (T1 to T18 on the Terms, P1 to P12 on the Privacy Policy, X1 to X7 on the Disclaimers), and a view on the standalone pages I do not yet have, in particular SMS consent terms and an E-Sign consent disclosure. On the broker exemption memorandum, I am asking for a review of the memorandum itself, an assessment of the claims it makes, and answers to the open questions it flags. Potentially in scope too: the visual design of any legal document or page. Out of scope: the Contract of Sale itself, and marketing or legal copy outside the three legal pages. What I expect back On the agreement, a redline against the canonical wording, or margin comments on any of the rendered variants, referencing clause numbers rather than page numbers. On the legal pages, tracked changes in the enclosed Word editions, referencing section numbers. In both cases, where a change is required for compliance, I would like it marked as such and separated from changes that are preference or drafting style, so I can prioritise. I would also like a written answer to each numbered question in the two packs and to the open questions in the broker exemption memorandum, and a clear statement of whether the revised legal pages require re-acceptance by existing users. None of these documents has yet been sent to a live user. Counsel sign-off is a gate on first production use of the agreement and on publication of the revised pages, both of which I am targeting ahead of a soft launch on 13 October 2026. The machine supplied was a steering-wheel type mower and is not the configuration I ordered. 2. Forestry mulcher I specifically ordered a forestry mulcher with a working width of 1 metre (1,000 mm). The machine supplied is 530mm wide. I have attempted to resolve both matters directly with the manufacturer for approximately three weeks. I have repeatedly requested that the matter be rectified, but the manufacturer has not provided an acceptable resolution or meaningful response. I am now seeking legal representation. Before engaging a lawyer, I would like a quotation for an initial legal assessment. Please advise: 1. Can you review whether the contract, governing-law and dispute-resolution provisions affect my rights? 10. What would you charge for a fixed-fee initial assessment of the matter? For the initial assessment I would provide the purchase documentation, specifications, invoices, payment records, photographs and all correspondence with the manufacturer. I would prefer a fixed-fee quotation for the initial assessment rather than an open-ended hourly arrangement. If the assessment indicates that I have a strong claim and that formal action is appropriate, I would then like a separate quotation for issuing the formal demand and, if necessary, pursuing the matter further.
